Terms of Service

1.1 Professional B2B Services: Miray Tech provides ODM/OEM manufacturing services exclusively to business clients including brand owners, wholesalers, distributors, and importers. We do not engage in retail business.

1.2 Core Products: Our manufacturing capabilities include LED bulbs (residential, commercial, and festive decorative), outdoor string lights with IP65 waterproof technology, solar camping lights, and wire/cable accessories.

1.3 Customization Services: We offer comprehensive customization from concept design, mold development, material selection, patented technology application, to certification assistance (CE/ETL/UL/RoHS/FCC).

2.1 Minimum Order Quantities: All orders are subject to minimum quantity requirements based on product complexity and customization level. Specific MOQs will be communicated during quotation.

2.2 Technical Specifications: Clients must provide detailed technical requirements including but not limited to: electrical specifications, physical dimensions, color temperature, certification requirements, and packaging specifications.

2.3 Sample Approval: All custom orders require sample approval before mass production. Sample costs and timelines will be specified in individual quotations.

2.4 Order Confirmation: Orders become binding upon written confirmation and receipt of required deposits.

3.1 Quotation Validity: All quotations are valid for 30 days unless otherwise specified. Prices are subject to change based on raw material costs and market conditions.

3.2 Payment Terms: Standard payment terms are 30% deposit upon order confirmation and 70% balance before shipment. Alternative payment arrangements may be negotiated for established clients.

3.3 Currency and Method: All transactions are conducted in USD unless otherwise agreed. Payments accepted via T/T bank transfer or other mutually agreed methods.

3.4 Additional Costs: Prices exclude shipping, insurance, customs duties, and applicable taxes unless explicitly stated otherwise.

4.1 Quality Standards: All products are manufactured according to agreed specifications and applicable international standards. Our automated production lines maintain over 95% welding yield rate.

4.2 Product Warranty: Standard warranty periods apply based on product category. LED bulbs: 2 years, String lights: 1 year, Solar products: 1 year from delivery date.

4.3 Quality Control: Each production batch undergoes comprehensive testing including aging tests and AQL sampling inspections by our experienced quality control team.

4.4 Defect Resolution: Any quality issues must be reported within 7 days of delivery with supporting documentation. We will investigate and provide appropriate remedies including replacement or credit.

5.1 Proprietary Technology: Miray Tech retains all rights to our patented technologies including multi-cavity injection molding, metal-free IP65 waterproofing, and automated production processes.

5.2 Custom Designs: Intellectual property rights for custom designs will be clearly defined in individual project agreements. Client-originated designs remain client property.

5.3 Confidentiality: We maintain strict confidentiality regarding all client information, technical specifications, and business relationships. Non-disclosure agreements available upon request.

5.4 Third-Party Rights: Clients warrant that their designs and specifications do not infringe upon third-party intellectual property rights.

6.1 Delivery Terms: Standard delivery terms are EXW (Ex Works) from our facility in Dongguan, China. Alternative terms (FOB, CIF, DDP) available upon request.

6.2 Production Lead Times: Lead times vary based on order complexity and quantity. Standard products: 15-25 days, Custom products: 25-45 days after sample approval.

6.3 Shipping Arrangements: Clients may arrange their own shipping or utilize our recommended logistics partners. We provide all necessary export documentation.

6.4 Risk Transfer: Risk of loss transfers to buyer according to agreed Incoterms. Insurance recommendations available for international shipments.

7.1 Liability Cap: Our total liability for any claim shall not exceed the value of the specific order giving rise to the claim.

7.2 Consequential Damages: We shall not be liable for indirect, incidental, special, or consequential damages including lost profits, business interruption, or loss of data.

7.3 Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control including natural disasters, government actions, labor disputes, or material shortages.

7.4 Client Responsibilities: Clients are responsible for proper product application, end-user safety instructions, and compliance with local regulations in their markets.

8.1 Governing Law: These Terms are governed by the laws of the People's Republic of China, specifically the laws applicable in Guangdong Province.

8.2 Dispute Resolution: Disputes will be resolved through good faith negotiation. If unsuccessful, disputes shall be submitted to arbitration under the China International Economic and Trade Arbitration Commission (CIETAC) rules.

8.3 Jurisdiction: The courts of Dongguan, Guangdong Province, China shall have exclusive jurisdiction over any matters not subject to arbitration.

8.4 Language: These Terms are prepared in English. In case of translation into other languages, the English version shall prevail.
